1. .  General.

The EmmaRose Agency (“ERA”) templates are intended for use with your content on social media and powerpoint presentations.  EmmaRose may also choose to incorporate Stock Media into offered EmmaRose Templates. Any content added by you into EmmaRose Templates are considered User Content (“User Content”)

1. Our Proprietary Rights

Except for your User Content, the Templates  and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, (the “EmmaRose Content”), and all Intellectual Property Rights related thereto, are the exclusive property of EmmaRose and its licensors . Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any EmmaRose Content. Use of the EmmaRose Content for any purpose not expressly permitted by this Agreement is strictly prohibited.

1.  EmmaRose Property

Access to the EmmaRose Template represents a limited license right governed solely by the terms of this Agreement and available for distribution at EmmaRose’s sole discretion. The EmmaRose  template  is not redeemable for any sum of money or monetary value from Emma Rose at any time. All materials including the organization and presentation of such material in creating the template  are the property of EmmaRose  and may be protected by intellectual property laws including laws relating to copyrights, trade-marks, trade-names, internet domain names, and other similar rights. 

1.  Paid Services

4.1 Add-on Services.

Any additional services, such as installing templates, customizing templates and other services requested by you and not covered by this agreement are not included in the current pricing and will incur additional charges. 

4.2 No Refunds.

There are no refunds for cancellation of your order. In the event that Emma Rose suspends or terminates this Agreement, you understand and agree that you shall receive no refund or exchange for any credits, or licenses. 

 

1.  Third-Party Links and Accounts 

The Template may contain links to third-party apps or websites to install and use the Template that are not owned or controlled by EmmaRose. You agree that the Templates provided by EmmaRose are only compatible with Wix.com and Canva.com. You further agree that this agreement does not grant you access to those websites. It is your responsibility to determine the website that best suits your needs and your responsible to obtain and maintain such accounts with those websites. 

EmmaRose does not endorse or assume any responsibility for any such third-party apps, sites, information, materials, products, or services. If you utilize a third-party app or website to use the templates, you do so at your own risk, and you understand that this Agreement and EmmaRose’s Privacy Policy do not apply to your use of such sites. Please ensure you read and agree to the Terms and Conditions of the app or website. You expressly relieve EmmaRose  from any and all liability arising from your use of any third-party app, website, service, or content. Additionally, your dealings with third parties, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such third parties. You agree that EmmaRose shall not be responsible for any loss or damage of any sort relating to your dealings with such third parties.
